1. Acceptance of these Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "user") and Kristina Nemzer, an individual based in Canada ("Alert Arc", "we", "us"). By creating an account, installing, accessing, or using the Alert Arc mobile applications or the website at alertarc.io (together, the "Service"), you agree to these Terms and to our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, do not create an account or use the Service.
2. Who we are
Alert Arc is operated by Kristina Nemzer, an individual developer based in Canada. Contact: dev@alertarc.io. If Alert Arc is later transferred to a registered company, these Terms will continue to apply, and we will notify you of any material changes.
3. Eligibility and accounts
- You must be at least 16 years old to create an account. If you are between 16 and the age of majority where you live, you represent that a parent or legal guardian has reviewed and accepted these Terms on your behalf.
- You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.
- One person may only create one account, except where we expressly allow otherwise. Accounts are personal and non-transferable.
- Notify us immediately at dev@alertarc.io if you suspect unauthorised access to your account.
4. The Service
Alert Arc monitors publicly available news and information sources and sends you notifications about events it classifies as critical, relating to cities you have chosen to monitor or that are associated with the contacts you have added. The Service may include optional features such as sharing your device location with contacts you have connected with, in-app messaging of feedback to us, and paid subscription tiers.
We continuously improve the Service. Features, content, or availability may change, be limited, or be removed at any time (see Section 17).
5. License to use the Service
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Alert Arc mobile applications on devices you own or control, solely for your personal, non-commercial use.
You may not, and may not permit any third party to: (a) copy, modify, translate, or create derivative works of the Service; (b) reverse-engineer, decompile, or disassemble the Service, except to the extent such restriction is prohibited by law; (c) remove or alter any proprietary notices; (d) sell, rent, lease, sublicense, or otherwise transfer access to the Service; (e) use the Service to build a competing product; or (f) use the Service in a way that violates these Terms or applicable law.
6. Acceptable use
You agree that you will not:
- Use the Service to harass, stalk, threaten, defame, or otherwise harm any person;
- Add another person's real personal data (name, location) to the Service without a lawful basis (for example, without their consent, where consent is required);
- Attempt to gain unauthorised access to the Service, other accounts, or our infrastructure;
- Interfere with or disrupt the Service, including by submitting malware, denial-of-service traffic, or abnormal load;
- Use automated means (bots, scrapers) to access the Service in a way that violates technical rate limits or our Privacy Policy;
- Use the Service to violate any law, regulation, or third-party right, including intellectual-property and privacy rights;
- Submit false, misleading, or unlawful content, including in feedback or connection requests.
7. Your content and contacts you add
- You are responsible for any information you submit to the Service, including aliases and cities for your contacts, display name, and feedback ("Your Content").
- You grant us a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, transmit, and display Your Content strictly as necessary to operate and improve the Service for you.
- You represent that you have all rights needed to submit Your Content and that it does not violate these Terms or applicable law.
- When you add a contact, we do not create any account or record for that person unless they separately install Alert Arc and sign up themselves. Use a nickname if you are unsure about privacy.
- You may send us feedback, suggestions, or bug reports. You grant us a perpetual, irrevocable, royalty-free licence to use that feedback without restriction. You will not be entitled to compensation for feedback.
8. Subscriptions and payments
Some features of the Service are available only through a paid subscription. Prices and features are shown to you before you purchase and may vary by country.
- Billing platform. Subscriptions are sold and billed by the Apple App Store (iOS) or Google Play (Android). Your payment, refund, and cancellation rights are governed by your agreement with Apple or Google in addition to these Terms.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period (for example, monthly or annually) at the then-current price until you cancel. Your account is charged within 24 hours before the current period ends.
- How to cancel. You can cancel at any time from your Apple App Store (Settings › [your name] › Subscriptions) or Google Play account (Play Store › Subscriptions). Cancellation takes effect at the end of the current billing period; you keep access until then.
- Refunds. We do not directly process refunds. Requests must be submitted to Apple or Google under their refund policies. We will help where we can.
- Price changes. We may change subscription prices. We will give you reasonable advance notice. Your platform (Apple/Google) may also require you to reaffirm consent for a renewal at a higher price; otherwise your subscription will not renew.
- Taxes. Prices may include or exclude applicable taxes depending on your jurisdiction and the platform's handling.
9. Free trials and promotions
If we offer a free trial, you may be required to add a payment method. Unless you cancel before the trial ends, the subscription will begin automatically at the end of the trial period and you will be charged the subscription price. Promotional offers are non-transferable and may be subject to additional terms.
10. Third-party services and stores
The Service relies on third-party platforms and services (Apple, Google, Supabase, Firebase, OpenAI, Vercel, email providers). The availability, performance, and behaviour of these third parties are outside our control. Your use of Apple or Google platforms is also governed by their own terms, including the Apple Media Services Terms and the Google Play Terms of Service.
If you obtained the Alert Arc iOS app via the Apple App Store, you acknowledge that these Terms are concluded between you and Alert Arc only, and not with Apple, and that Apple is not responsible for the Service or its content. To the extent that these Terms contain terms concerning product warranties, liability, intellectual-property rights, or end-user licensing, Apple shall have no obligation whatsoever, and Apple is a third-party beneficiary of these Terms with respect to your licence to use the iOS app. Similar principles apply to Google for the Android app.
11. No emergency service; informational only
News and event information is sourced from third-party feeds, processed by automated systems, and may be delayed, incomplete, inaccurate, or omitted entirely due to network, source, or classification errors. Push-notification delivery depends on your operating system, carrier, and third-party services and is not guaranteed. You must not rely on the Service for decisions where a delay, error, or missed alert could cause injury, death, property damage, or other loss. Always verify critical information through official sources and follow instructions from emergency responders.
12. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis, with all faults and without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted or error-free operation, and any warranty arising from course of dealing or usage of trade. We do not warrant that alerts will be delivered, that event information will be timely or accurate, or that the Service will be secure or free of harmful components.
13. Limitation of liability
To the maximum extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenues, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages;
- Our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability for incidental or consequential damages, so some of these limitations may not apply to you. Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Alert Arc and Kristina Nemzer from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service in violation of these Terms or applicable law; (b) Your Content; or (c) your violation of any third-party right, including privacy or intellectual-property rights. This does not apply to the extent the claim arises from our own wrongful act or is otherwise non-waivable under applicable law.
15. Suspension and termination
- You may stop using the Service and delete your account at any time from the app's Settings screen (see our account deletion instructions) or by emailing dev@alertarc.io. Deletion terminates these Terms as to you, subject to the sections that by their nature survive (for example, Sections 7, 8, 12, 13, 14, 18, and 20).
- We may suspend or terminate your access if we reasonably believe you have violated these Terms, if required by law, or to protect the security or integrity of the Service. Where reasonably practicable we will give you prior notice.
- Termination does not entitle you to a refund of unused subscription periods, except where required by law. See Section 8 for the refund process through your app store.
16. Intellectual property
The Service, including its software, design, logos, trademarks, and all related intellectual property, is and will remain the property of Alert Arc and its licensors. No rights are granted to you other than the limited licence expressly set forth in Section 5. "Alert Arc" and the Alert Arc logo are our trademarks and may not be used without our written permission.
17. Changes to the Service or these Terms
We may modify the Service at any time, including by adding or removing features. We may also amend these Terms. If a change is material, we will provide notice by email, in-app notice, or by updating the "Last updated" date at the top of these Terms. Changes take effect when posted, or on a later date we specify. If you continue to use the Service after the effective date, you accept the revised Terms. If you do not accept the revised Terms, you must stop using the Service and may delete your account.
18. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to the mandatory rights of consumers under the laws of their country of residence (see Section 19), any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts located in Ontario, Canada, and you and we consent to the exclusive jurisdiction of such courts. You and we agree to attempt in good faith to resolve any dispute informally by contacting dev@alertarc.io before commencing formal proceedings.
To the extent permitted by law, any claim must be brought within one (1) year after it arose; otherwise the claim is permanently barred. You and we agree that any dispute will be resolved on an individual basis only and not as a class, collective, or representative action.
19. Consumer rights (EEA, UK, Canada, US)
If you are a consumer, the rights granted to you under mandatory consumer-protection law (for example, withdrawal rights under the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, the Québec Consumer Protection Act, the California Automatic Renewal Law, or equivalent local laws) apply in addition to these Terms and are not limited or waived by any provision of these Terms.
EEA/UK consumers: you have the right to withdraw from a purchase of digital content within 14 days. By starting to use the digital content, you expressly request performance and acknowledge that your right of withdrawal may be lost once the service has been fully performed.
California residents: you may cancel an auto-renewing subscription at any time, and we disclose all material terms clearly before purchase in compliance with California Business & Professions Code §17602.
20. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy form the entire agreement between you and us regarding the Service and supersede any prior understandings.
- No waiver. Our failure to enforce any provision is not a waiver of that provision.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
- No agency. No joint venture, agency, or partnership is created by these Terms.
- Notices. We may send you notices by email to the address associated with your account or by in-app message. You may send notices to dev@alertarc.io.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
